Overview

This position will require a skilled lawyer to provide legal advice to various investment banking trading and lending desks, including the supervising of outside counsel.

You will be an integral part of the Bank's lending, finance and securities coverage team within the investment bank, negotiating transaction documents and providing legal advice and legal and risk assessments for complex transactions, including cross-border transactions. What You'll Do

  • Broad transactional coverage of the Firm's fixed income residential whole loans business team as well as asset backed lending, securitization, and structured finance businesses within the Deutsche Bank Investment Bank

  • Senior counsel for residential mortgage-backed securities (RMBS) and subject matter expert will require knowledge of legal issues associated with residential mortgage loan purchases and sales, residential mortgage loan originations, securitizations, due diligence and servicing

  • Advise the RMBS trading and structuring groups in relation to the legal and regulatory framework governing the securities and structured finance markets, including without limitation the Securities Act of 1933, as amended, the Securities Exchange Act of 1934, as amended and Dodd-Frank

  • Provide ongoing corporate governance and licensing support associated with an RMBS business and work closely with outside counsel, compliance and other internal infrastructure functions

  • Support multi-strategy businesses that originate, purchase, trade in, make markets and advise on and/or securitize large positions in residential mortgages and mortgage related securities and other loan products

  • Draft, review, and advise on a wide variety of lending documents, structured finance, warehouse lending transactions and other related loan products. Review Mortgage Loan Purchase and Sale Agreements, Servicing Agreements, Custodial Agreements, Trust Agreements, and various other commercial contracts

How You'll Lead

  • A team player that can also work autonomously with various structuring groups to structure transactions that achieve internal and/or client objectives and manage multiple transactions on accelerated schedules

  • Provide advice to senior Legal Department management on transactional legal requirements, best practices and technology tools and solutions

  • Collaborate with colleagues globally in the Bank's Legal Department, Technology Data & Innovation function and other infrastructure functions

Skills You'll Need

  • General knowledge and understanding of Federal and State consumer protection laws associated with an RMBS platform

  • Experience representing underwriters, issuers, and managers in a wide range of RMBS, CMBS and Asset Backed Securities financings and securitizations including registered public offerings, exempt transactions, and international and domestic offerings

  • Experience with certain derivatives transactions and swaps coverage is also a plus

  • Proficient experience and if possible, in-house counsel experience, New York qualifiedand a proven ability to work independently

Skills That Will Help You Excel

  • Work autonomously with various structuring groups to structure transactions that achieve internal and/or client objectives and manage multiple transactions on accelerated schedules

  • Prior in-house in or law firm experience with financial services is a plus

  • Ability to collaborate, cooperate and work well with others in a supportive and respectful manner

  • Ability to handle and strategically prioritize numerous projects and tasks

  • Experience operating in a fast-paced business environment

Expectations

It is the Bank's expectation that employees hired into this role will work in the New York City office in accordance with the Bank's hybrid working model.

The salary range for this position in New York City is $170,000 to $308,000.Actual salaries may be based on a number of factors including, but not limited to, a candidate's skill set, experience, education, work location and other qualifications. Posted salary ranges do not include incentive compensation or any other type of remuneration.
