Description
Summary

In alignment with Gift of Life Michigan's core purpose and core values, the Corporate Paralegal & Contract Specialist collaborates closely with the General Counsel to help manage the organization's legal affairs and corporate compliance. This individual is a trusted resource to the General Counsel and leadership, managing investigations and litigation, helping identify key compliance issues, researching statutes and other regulations, and drafting and revising internal policies. They also serve as the primary contract administrator for Gift of Life, managing the contract review process and monitoring key dates and overall contract compliance.


Duties & Responsibilities

The following duties and responsibilities are stated in broad terms and not intended to be inclusive. Those in bold are essential duties of the position:



  • Provide comprehensive support for Gift of Life's General Counsel.
  • Draft and review corporate legal documents.
  • Manage Gift of Life's contract management system.
  • Coordinate the initial review of contracts on behalf of Gift of Life.
  • Oversee Gift of Life's annual conflict of interest disclosure process.
  • Serve as primary contact for internal inquiries involving legal and/or compliance matters.
  • Support, review and respond to third party inquiries, including subpoenas and record requests.
  • Review and update policies to ensure consistency with organizational goals.
  • Assist with governance and compliance functions, including preparation of materials for internal committees.
  • Conduct investigations to ensure compliance with internal controls.
  • Assist with legal research on federal and state matters.
  • Monitor proposed legislation and identified litigation at federal and state level.
  • Perform other duties as assigned.

Qualifications
Education and/or Experience
Required

  • Associate degree or post-baccalaureate certificate in paralegal studies from an American Bar Association approved paralegal program, or an equivalent combination of relevant experience and education.
  • 3 years of experience in a law firm or corporate setting.


Preferred

  • Bachelor's degree in business or a related field with post-baccalaureate certificate in paralegal studies from an American Bar Association approved paralegal program.
  • 5+ years' experience as a corporate paralegal or similar position.
  • Membership in a national and/or local paralegal association.
  • Prior experience involving project management.
  • Prior experience with a hospital, healthcare organization, or organ/tissue procurement organization.


Knowledge, Skills, and Abilities (KSA)

  • Strong knowledge of legal principles and practices, legal terminology, and document management practices, including contracts.
  • Highest levels of integrity and discretion in handling confidential information.
  • General understanding of healthcare and laws affecting healthcare entities.
  • Ability to exercise initiative, critical thinking, and independent problem-solving in a fast paced environment amid uncertainty.
  • Strong organizational, drafting and editing skills along with the ability to manage multiple and competing priorities.
  • Demonstrated attention to detail.
  • Ability to work collaboratively to foster cross-functional partnerships.
  • Written and verbal fluency in English.
  • Interest in learning and navigating emerging technologies.
  • Proficiency with Microsoft Office programs (including Outlook and Teams) and other technology systems used in business operations.
