BASIC PURPOSE:

Assists in carrying out the corporate secretary's duties, including attending and taking minutes during meetings of board of directors, board committees, and management committees; preparing drafts of meeting minutes; assisting in the preparation of board agendas and other materials; and assisting with other corporate governance tasks.

ESSENTIAL FUNCTIONS:

  • Assists in carrying out the corporate secretary's duties, including attending and taking minutes during meetings of board of directors and board committees and preparing drafts of meeting minutes.

  • Attends and takes minutes of meetings of the Executive Management Committee and other management committees as assigned.

  • Assists with board meeting material collection and preparation, and compiles and publishes meeting materials for board of directors meetings.

  • Maintains cumulative agendas as assigned.

  • Conducts periodic reviews of committees' charter responsibilities and works with executive management to ensure that mandatory items are addressed.

  • Assists with governance matters as assigned.

KNOWLEDGE, SKILLS, ABILITIES:

Must be detailed oriented, computer literate, and have excellent communication skills.

Excellent oral and written communication skills at a level commensurate with executive management's expectations are required, including the ability to synthesize complex information and express it accurately and succinctly.

Advanced knowledge of Microsoft Word is required.

Must be able to comprehend and synthesize complex financial and strategic data regarding the Bank and its external environment.

Must be able to work independently, must demonstrate initiative, good organization skills, and have a proven ability to work with staff at all levels of management.

MINIMUM REQUIREMENTS

A bachelor's degree and at least four years of experience in preparing minutes for a financial institution, or the equivalent combination of education and experience is necessary. A paralegal certification is helpful, but not required.

Work Location:This individual must reside within commuting distance from ourAtlanta, GAoffice. This position may not be filled in California, either in-person or remotely.

Work Schedule:Onsite with an opportunity to work remote partially.
