Overview Pharming is seeking to hire a VP, Legal - US to ensure that Pharming Healthcare, Inc. (PHI) operates within the law at all times, offer counsel on legal issues, and serves as an effective guardian of the organization by effectively monitoring, mitigating, and managing legal risks. While focused primarily on the US organization, will need to ensure global alignment and coordination with the company's Chief Ethics and Compliance Officer (CECO). The duties of this position include, but are not limited to, corporate governance, securities, commercial transactions, contracts, regulatory, litigation, M&A, privacy, employment law, compliance, antitrust, as well as management/coordination of US insurance policies and related matters. May also be involved with intellectual property maters. The role will manage the US legal team and work collaboratively locally and globally with compliance and legal colleagues. This position will report to the U.S. President, General Manager. Key Responsibilities The VP, Legal - US will be responsible for a wide variety of matters in support of Pharming's growth: Core functions include:
- Act as the primary legal advisor to the President of PHI and the corporate HQ CECO.
- Provide leadership and oversight of all legal needs of PHI's business and corporately as required, including but not limited to providing legal advice and guidance across business functions.
- Develop functional plans for managing legal matters, including activities to be performed in house or through third party providers to efficiently manage the company's legal activities and minimize risk for the business.
- Manage and direct general PHI matters including PHI organization, securities compliance, general transaction support, license agreements, employment law, regulatory matters, commercial matters (i.e., advertising and promotional materials and programs, disease awareness activities, HCP interactions, patient programs, market access / pricing / reimbursement matters, drug distribution, AKS), risk management, financing activities, and general contract management.
- Draft, review, and negotiate a wide variety of agreements including confidentiality, material transfer, license, advisory board, market research, and other IP related matters with domestic and international parties including client, partners, vendors, and users ranging from local and global biotech companies to healthcare organizations, research and clinical sites, landlords, subcontractors, and government agencies.
- Structure key business initiatives in a way that help to achieve business objectives while at the same time protects legal, regulatory, and tax directives and regulations.
- Ensure compliance with securities regulations, corporate governance requirements, and other relevant statutory requirements.
- Works with compliance on the development of programs to prevent and detect violations of laws, company policies, and other misconduct.
- Enforce claims the company may have against third parties, as appropriate, and defends the company against third party claims and litigation.
- Advise on legal aspects of PHI and broader company financing activities and corporate structure considerations, including assessing and advising on current and future business structures and legal entities.
- Proactively address the rapidly evolving regulatory and governance legal and compliance environment including changes in laws and regulations, regulatory focus areas, and industry best practices.
- Oversees legal advice on employment law matters in the US.
- Must be able to report to the Warren, NJ office 2 to 3 days per week.
- Travel may be required.
Minimum Qualifications
- Juris Doctorate (J.D.) degree from an ABA-accredited law school required.
- Must be licensed and in good standing to practice law in the State of New Jersey or eligible for a limited certificate of admission to practice in New Jersey.
- 15+ years of general corporate legal experience in biotechnology and/or pharmaceutical industries with general counsel experience in either in-house, law firm, or a combination of both.
- Experience with FDA and healthcare regulatory compliance is required.
Preferred Qualifications
- Commercial compliance experience is a plus.
- Demonstrated experience in commercial legal analysis and planning, including effectively managing multiple project/priorities.
- Effective leader and manager in directing legal activities with in-house and external resources.
- Ability to research laws and industry standards, trends, and technologies and to prepare local and corporate policies and practices.
- Ability to work across departments to implement policies and procedures.
- Ability to move easily between and hands on operations focused view with a strategic mindset.
- Ability to lead as well as function well in a team environment.
- Ability to work well with senior leaders and the PHI Board of Directors.
- Ability to work effectively with influence across functional units and at all levels in the organization, as well as with external parties.
- High level of integrity, action and goal orientation.
- Proven ability to make sound judgements and decisions, quickly assess problems/situations, and provide effective resolutions/solutions.
- A "can do" professional who will proactively with both internal and external stakeholders to drive results.

Salary Range Pharming takes into consideration a combination of candidate's work experience, training, and education, as well as the scope of the role, complexity, and external market and internal value when determining a salary level. The base salary range for this job is from $320,000.00 TO $350,000.00 per year. Compensation & Benefits
