GENERAL DESCRIPTION:
The Assistant General Counsel, Fleet serves as the primary legal partner for the businesses and solution sets in Cox Automotive's Fleet Services and FleetNet America groups and supports other solutions groups within Cox Automotive as needed. The Assistant General Counsel, Fleet is responsible for providing expert and strategic legal advice to executives and business leaders throughout Cox Automotive and supporting collaboration across multiple groups, jurisdictions and practice areas to ensure a seamless experience for internal and external clients in a way that optimizes Cox Automotive's risk profile.
The qualified candidate must be able to address a wide range of complex corporate, transactional, compliance and commercial matters by formulating and executing legal strategy for the Fleet Services and FleetNet America groups based on business priorities and through collaborating with various Centers of Excellence (including litigation, M&A, compliance, privacy, safety, labor and employment, and intellectual property). The ideal candidate will have significant experience in general business matters, commercial transactions, finance, software licensing, and compliance, as well as breadth in counseling executives and business leaders across a wide range of subject matters.
This is a highly visible role for a confident, proactive, commercially minded attorney who can operate with a high level of autonomy and can manage complicated projects. The position involves regular interaction with the General Counsel, the VP Commercial Operations, and other senior company executives as well as collaboration with executive leaders from the various business groups.
KEY RESPONSIBILITIES :
- Provide day-to-day operational and expert legal and strategic advice on a broad range of legal topics including commercial transactions and contract negotiations, product strategy/development, operational efficiencies, compliance, and general business matters.
- Work with multiple groups and executives on the development of strategies that support business development and commercial plans.
- Effectively manage external advisers (including establishing and overseeing outside counsel budgets).
- Oversee coverage/staffing of legal matters for the Fleet Services and FleetNet America groups and identify/address current and anticipated legal needs for those businesses.
- Serve as trusted advisor to leadership from the Fleet Services and FleetNet America groups to provide key strategic advice on significant projects and business activity, including advising on existing and new customer/partner relationships and business initiatives, and developing and executing action plans to resolve issues presented in contract negotiations.
- Travel to client sites to work alongside business team as needed.
- Efficiently prioritize competing business and legal interests, while providing support to a wide range of business partners on a variety of general corporate and business-specific matters.
- Review, advise on, and negotiate a variety of commercial contracts, including contracts covering SaaS based products, data products, fleet/physical services, and professional services
- Provide legal guidance on responses to sales RFP's, RFI's, RFQ's, etc. related to the fleet industry.
- Establish and maintain a detailed knowledge of Cox Automotive products and of commercial and technology development strategies of the Fleet Services and FleetNet America groups.
- Stay abreast of Fleet Services/FleetNet America group-specific regulations and compliance matters and assist in ensuring that appropriate risk management strategies are in place.
- Advise on complex legal matters, including working with executive management in the creation of proactive strategies relating to risk mitigation and on projects that require expertise but do not lend themselves to standardized delivery.
- Assist and guide the development, implementation and deployment of forms, procedures, policies and playbooks designed to create operational efficiencies in contract and product review, while protecting the interests of Cox Automotive.
- Partner and coordinate with leadership to develop and execute action plans to resolve issues presented in day-to-day business operations, state licensing matters, contract negotiations and product reviews.
- Identify and address significant and novel problems that may not be solved using existing practices and procedures; respond/adapt to changing conditions or circumstances, requiring enterprise alignment and creative thinking.
- Assist team with M&A due diligence reviews, regulatory filings and compliance matters relating to the Fleet Services and FleetNet America groups.
- Develop strong relationships with internal contacts, including, but not limited to: other in-house attorneys, Security, Risk Management, Finance, and other appropriate departments to ensure high service level and anticipate special needs.
- Assist in supporting other solutions groups when needed and collaborate with attorneys supporting those solutions groups when advising on company-wide initiatives.
QUALIFICATIONS (KNOWLEDGE, SKILLS, AND EXPERIENCE):
- A minimum of 7 years of legal experience working on a wide range of legal matters with previous in-house counsel experience with increasing levels of responsibility.
- J.D. degree, plus a member in good standing of at least one state bar.
- Proven experience and expertise in providing legal counsel for software/technology products, data products, and physical services.
- Experience in the automotive industry, including the areas of fleet services, fleet operations, logistics, transportation, and other new growth areas within the automotive industry is a plus.
- Ability to shift between supporting physical services businesses and software businesses.
- Ability to work across legal teams (internal or external) to provide the best legal advice and counsel on business or practice area.
- Ability to effectively communicate with executives and people at all levels in the company and explain complex technical and legal issues in a succinct and clear manner.
- Business-minded attorney with strong initiative and excellent leadership, management, teamwork, collaboration, problem-solving and delegation skills.
- A proven track record of serving as a trusted advisor to senior leadership teams at a large company.
- Considerable commercial experience, but also capable and comfortable functioning as a corporate generalist; excellent negotiator.
- Proven leadership capabilities in providing vision and direction to effectively drive the legal team to higher performance.
- Create an environment of open communication, transparency and collaboration with attorneys, legal staff, operational leaders and system colleagues resulting in proactive management of transactions, strategies and initiatives.
- Strong business acumen with knowledge of financial principles and practices.
- A focus on client needs with a commitment to timing, quality and client service.
- A business partner, who likes working side-by-side with business teams, and is receptive to opposing views.
- The ability to work well both independently and as part of a highly collaborative and international team, in a fast-paced cross-cultural environment.
- A strong work ethic and the ability to prioritize and follow through on numerous projects simultaneously.
- Ability to travel as necessary, 10% of the time.
USD 192,800.00 - 321,400.00
Compensation:
Compensation includes a base salary of $192,800.00 - $321,400.00. The base salary may vary within the anticipated base pay range based on factors such as the ultimate location of the position and the selected candidate's knowledge, skills, and abilities. Position may be eligible for additional compensation that may include an incentive program.
